We are seeking an experienced and driven Corporate Secretarial Manager to lead our Corporate Secretarial team and play a key role in delivering high-quality governance and compliance services to our valued clients.
What You'll Be Doing
As a Corporate Secretarial Manager, you will oversee the full spectrum of corporate secretarial functions and serve as a trusted advisor to clients on governance and regulatory matters.
Key Responsibilities
- Lead and manage a team of corporate secretarial professionals handling a portfolio of Singapore and offshore entities.
- Oversee company incorporations, annual compliance requirements, corporate restructuring exercises, share transfers, striking-off applications, and liquidation matters.
- Ensure full compliance with the Singapore Companies Act, ACRA regulations, and other applicable statutory requirements.
- Review and approve corporate secretarial documents, including board and shareholders resolutions, meeting minutes, annual returns, and statutory filings.
- Provide strategic advice to clients on corporate governance, compliance obligations, and regulatory developments.
- Build and maintain strong client relationships, acting as the primary contact for corporate secretarial matters.
- Supervise client onboarding processes, including KYC/CDD reviews, risk assessments, and compliance checks.
- Monitor statutory deadlines and ensure timely submission of annual returns, resolutions, and regulatory filings.
- Oversee e-filings with ACRA, IRAS, and other relevant authorities.
- Ensure statutory registers, corporate records, and company databases are accurately maintained.
- Liaise with auditors, tax consultants, legal advisors, banks, regulatory bodies, and other stakeholders.
- Mentor, coach, and develop team members to support their professional growth and performance.
- Support business development initiatives and identify opportunities to expand services to existing clients.
- Participate in special projects, corporate exercises, and advisory engagements.
- Drive process improvements and strengthen internal controls to enhance operational efficiency.
What We're Looking For
- Proven experience in corporate secretarial management within a corporate services, accounting, legal, or professional services environment.
- Strong knowledge of the Singapore Companies Act, ACRA regulations, and corporate governance practices.
