The successful candidate will manage a portfolio of clients comprising private local and foreign companies, and lead the delivery of corporate secretarial and governance services, including:
- Leading and supervising a team of corporate secretarial executives to ensure high-quality and timely service delivery
- Acting as the primary advisor to clients on corporate governance, compliance, and regulatory matters under the Singapore Companies Act
- Managing complex corporate actions including incorporations, restructuring, share transfers, and striking-off
- Reviewing and approving AGM, EGM, board and shareholders resolutions and minutes
- Ensuring full compliance with statutory requirements, including filings with Accounting and Corporate Regulatory Authority (ACRA) and other relevant authorities
- Maintaining and overseeing statutory registers and records for clients
- Providing proactive advisory to clients on governance best practices and compliance risks
- Managing client relationships, including handling escalations and providing strategic guidance
- Supporting business development initiatives and onboarding of new clients
- Driving internal process improvements and ensuring adherence to regulatory standards
Requirements
- Degree in Law, Accountancy, Corporate Governance, or equivalent professional qualification
- Strong working knowledge of the Singapore Companies Act and corporate governance framework in Singapore
- Minimum 6-8 years of corporate secretarial experience, with at least 2-3 years in a managerial or supervisory role
- Proven experience managing a portfolio of clients independently
- Strong leadership, communication, and stakeholder management skills
- Ability to handle complex corporate structures and advisory work
- Proficiency in corporate secretarial software and Microsoft Office
