Job Description

Key Responsibilities

  1. Lead, mentor, and supervise a team of corporate secretarial professionals, providing guidance, training, and performance support to ensure service excellence.
  2. Manage a portfolio of private, public-listed, and offshore companies, serving as the primary point of contact for clients.
  3. Oversee a full spectrum of corporate secretarial functions, including company incorporation, striking off, share allotments and transfers, capital restructuring, rights issues, corporate restructuring, and the preparation of board and shareholder resolutions.
  4. Attend board and shareholder meetings, prepare accurate minutes and resolutions, and ensure timely and accurate statutory filings with ACRA and other relevant authorities.
  5. Provide advisory support to clients on corporate governance matters, regulatory compliance, and internal policies and procedures.
  6. Drive continuous improvement initiatives, including process optimisation, workflow automation, and effective use of corporate secretarial software systems.
  7. Collaborate closely with internal teams, auditors, banks, and legal counsel to support corporate transactions and compliance matters, and manage ad-hoc projects and regulatory reviews as required.
  8. Mentor, guide, and develop junior team members to enhance technical competence, professionalism, and overall team capability.

Requirements

  1. Bachelor's Degree in Business, Law, Accountancy, or a related discipline professional qualification in ICSA/CSIS is preferred.
  2. Minimum 6-8 years of corporate secretarial experience, including at least 2 years in a managerial capacity.
  3. Strong knowledge of the Singapore Companies Act, ACRA regulatory framework, and SGX Listing Rules (for listed entities).
  4. Proven experience in managing complex corporate transactions, including restructuring, rights issues, fundraising, and related corporate exercises.
  5. Strong leadership capabilities with demonstrated experience in team management, mentoring, and talent development.
  6. Sound client advisory skills with the ability to engage stakeholders professionally and effectively.
