About the Role

This is a leadership role overseeing corporate governance and entity management across a regional portfolio. You will be responsible for ensuring entities operate in line with statutory obligations, internal governance frameworks, and shareholder requirements, while also driving best practices across multiple jurisdictions.

The role offers a strong blend of team leadership, stakeholder management, and hands-on company secretarial responsibilities, within a dynamic and growth-oriented environment.

Key Responsibilities

  • Lead and manage corporate governance and compliance across a portfolio of entities in Asia
  • Act as Company Secretary for Singapore entities, including board support, minutes, and resolutions
  • Oversee the full lifecycle of entity management, including incorporation, restructuring, and ongoing administration
  • Drive the setup of new entities, coordinating across internal teams and external advisors
  • Manage relationships with external service providers, ensuring quality, cost-efficiency, and timely delivery
  • Serve as a key point of contact for business units on entity-related matters and transactions
  • Ensure alignment with shareholder agreements, governance frameworks, and regulatory requirements
  • Lead and mentor junior team members while building a scalable entity management function
  • Develop and enhance internal policies, procedures, and governance standards
  • Monitor regulatory developments and advise on implications for the business
  • Collaborate with legal, finance, and tax teams on corporate and transactional matters
  • Support strategic initiatives, projects, and ad-hoc assignments as required

Requirements

  • Minimum 8 years experience managing complex, multi-jurisdictional entity structures
  • Chartered Secretary qualification (ICSA/SAICSA or equivalent)
  • Proven experience in corporate governance, company secretarial, and entity management
  • Strong understanding of Singapore company law and regional regulatory frameworks
  • Background in infrastructure, energy, or project-driven environments is advantageous
  • Demonstrated leadership experience with the ability to manage and develop teams
  • Strong project management and organisational skills
  • Proactive, solutions-oriented mindset with the ability to work in a fast-paced environment
  • Excellent stakeholder management and communication skills
