Job Description

Responsbilities:

  • Assist in providing full spectrum of corporate secretarial services to the firm's clients, which includes public listed companies, public and private limited companies
  • Assist with incorporation of companies, registration of foreign entities, representative offices, limited liability partnerships, striking off companies, etc
  • Draft directors/shareholders resolutions, minutes of shareholders meetings (annual general meetings and extraordinary general meetings), and any other ancillary documents
  • Execute e-filings with ACRA and other authorities, including registration and discharge of charges, transfer of shares, change of directors, amendments to constitutions, etc.
  • Manage and monitor filing deadlines and compliance requirements for clients, including AGMs and Annual Returns
  • Maintain and update company statutory records / statutory registers
  • Onboarding of new client ongoing monitoring and conducting client due diligence checks
  • Ensure compliance with relevant statutory and regulatory requirements
  • Ensure proper and timely filing of statutory forms/returns to ACRA and e-stamping of transfer forms with IRAS
  • Assist in arranging for notarisation, legalisation and authentication of documents with various embassies

Requirements:

  • At least 5 years of relevant corporate secretarial experience in a fast paced environment like law firms, corporate secretarial firms or public listed companies (preferred but not compulsory)
  • Qualified company secretary (ICSA, CSIS) or similar corporate secretarial qualification will be preferred but not essential
  • Experience in handling companies listed with the SGX, advise on Listing Manual, Catalist Rules of SGX-ST, release of SGX announcements, etc (preferred but not compulsory)
  • Experience in taking minutes of meetings for Board of Directors and Shareholders meetings (preferred but not compulsory)
  • Hands-on experience in electronic filing with ACRA
  • Excellent stakeholder management skills, including confidence and ability to interact with senior level persons in a professional manner
  • Effectively bilingual in English and Mandarin to handle queries from English and Mandarin speaking clients strong in oral and written communication
  • A detail-oriented person with high work standards, motivated by multiple tasks and able to meet deadlines
  • Good interpersonal skills and ability to communicate confidently and credibly
  • Team player with proactive approach
