Responsibilities:
Corporate Compliance & Filings
Incorporate new companies, register foreign branches, and handle striking-off procedures.
- Prepare directors and shareholders resolutions, AGM/EGM documentation and maintain statutory registers.
- Ensure timely filing of annual returns and other statutory documents with ACRA.
- Oversee and supervise preparation of resolutions and statutory documents
- Reviewing announcements relating to clients
- Review and supervise the work of junior team members, ensuring accuracy, consistency, and adherence to internal service standards.
Listed Company Support
- Draft and release announcements via SGXNET.
- Coordination of AGM/EGM, Board and Board Committee meetings
- Prepare and review materials for AGM/EGM, Board and Board Committee meetings
- Meeting attendance and minute-taking.
Other corporate or ad-hoc duties as required
- Respond to requests from business units and auditors for information and documents
- Contribute to process improvements, digital transformation initiatives, and workflow enhancements to elevate operational efficiency
- Mentor and guide junior colleagues, contributing to talent development and capability building within the Corporate Secretarial team.
- Work closely with In.Corp's service delivery teams (eg. Tax, Accounting, Payroll, Business advisory, and Compliance) to deliver integrated solutions that meet clients evolving needs.
Requirements:
- Experience with listed companies preferred
- Demonstrated experience supervising or mentoring junior staff.
- Deep familiarity with the Singapore Companies Act, ACRA regulations, SGX Listing rules and MAS filing requirements
- Strong minute-taking skills, meticulous attention to detail, and the ability to manage multiple deadlines
- Strong drafting ability and attention to detail, especially for board papers, resolutions and disclosures
- Proficiency in managing statutory registers, annual filings, and complex corporate actions.
- Pursuing or holding ICSA/CSIS/CGI qualification preferred
- Excellent written and verbal communication skills
- A proactive learner with strong client service orientation and the ability to work independently under pressure.
- Meticulous, organized, and able to prioritize effectively in a fast-paced professional services environment.
