As a Corporate Secretarial Assistant/Executive, you will be responsible for handling a portfolio of clients andensuring full compliance with statutory and regulatory requirements. Your key responsibilities include:
- Assist with incorporation of companies, registration of foreign entities, striking off companies, etc
- Draft directors/shareholders resolutions, minutes of shareholders meetings (annual general meetings andextraordinary general meetings), and any other ad-hoc corporate secretarial documents
- Ensure proper and timely filing of statutory forms/returns with relevant authorities (ACRA/ IRAS/ MOM)
- Attend to meetings and draft minutes of directors and shareholders
- Maintenance and updating of corporate records and statutory registers as required by the Companies Actand other relevant legislations
- Assist in application of work passes with the MOM and other visa application
- Assist in arranging for notarisation, legalisation and authentication of documents with various Embassies orprofessional bodies
- Liaise with clients, auditors, and government agencies on corporate secretarial and compliance matters
- Assist with KYC reviews, due diligence, and ensuring AML/CFT compliance
- Ensure timely billing and collection and
- Support the team in ad-hoc corporate projects and administrative duties as may be assigned from time to time.
Requirements
- Relevant diploma, university degree, ICSA, LLB or other relevant qualification
- Candidate with ICSA qualification or currently pursuing ICSA course will be an added advantage
- Good understanding of Singapore Companies Act
- Able to work independently
- Excellent time management and problem solving skills
- Organised, meticulous and good time management skills
- Good team player
- Strong verbal and written communication skills
