Position summary: The Corporate Paralegal (Asia) will provide legal support and perform administrative duties as assigned. Specific duties and responsibilities include, but are not limited to, the following:
Position responsibilities:
Form corporations:
- Check name availability and reserve corporate names
- Draft organizational documents including actions by sole incorporator, bylaws, organizational board actions, and documents to issue initial stock
Form limited liability companies:
- Check name availability and reserve corporate names
- Draft and file certificates of formation
Maintain corporate records:
- Draft shareholders and directors actions and minutes and maintain minute books
- Prepare documents and maintain records for issuing and transferring stock and employee stock option plans
- Complete and file foreign qualification documents
- Prepare and file annual reports
- Prepare documents for annual shareholder meetings
- Research Blue Sky issues and prepare required filings, primarily in connection with financing transactions and employee stock option plans
- Draft documents for dissolution
Assist with private placements:
- Due diligence reviews
- Draft closing checklists and closing memoranda
- Prepare closing certificates
- Research Blue Sky issues and prepare memoranda and required filings
- Prepare materials for board and shareholder actions and assist with associated mailings
- Make other regulatory filings
- Assist in obtaining required consents of third parties
- Assist at the closing and prepare closing files
Other:
- Bill a minimum of 1600 hours annually
- Enter time into IntApp, e-timelogs and fulfill other administrative duties in a timely fashion
- Exercise care in the course of work to prevent injuries to oneself and co-workers
- Other tasks as assigned or required
Skills and experience:
Required:
- After orientation at Cooley LLP, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications
- Bachelor's degree
- Minimum of 1 year experience as a case assistant
- Excellent oral and written communication skills in English and Chinese (both Cantonese and Mandarin)
- Available to work overtime, as required
