Our client, a regulated financial services group in Singapore, is hiring a Corporate Governance & Company Secretarial Lead to work alongside the General Counsel on the group's corporate secretarial function across its regional entities, subsidiaries and joint ventures.
The role centres on building and maintaining a sound governance structure including clear delegation of authority and acting as a key support to the General Counsel/Company Secretary across statutory filings, board administration and broader governance matters.
Key Responsibilities
- Managing and coordinating statutory and regulatory submissions, ensuring accuracy across periodic financial reporting and other filing obligations tied to the entity's regulatory license
- Tracking and maintaining disclosures owed to the Board, such as updates to directors personal particulars, other directorships and shareholdings
- Organising Board and Board Committee meetings - coordinating with stakeholders on agenda-setting, preparing and reviewing meeting materials, attending sessions and producing minutes
- Coordinating Annual and Extraordinary General Meetings, including drafting notices and minutes
- Advising business units on governance requirements, internal approval workflows, and regulatory considerations for transactions and contracts, including drafting resolutions and approval papers
- Overseeing external corporate secretarial providers on statutory filings and company registers
- Contributing to a strong internal governance framework aligned with the entity's regulatory obligations and broader group standards
- Supporting other ad hoc matters as directed by the General Counsel, including coordination with group legal, group corporate secretariat, and counterparts across other group entities
Requirements
- A tertiary qualification
- Min 7+ years in a corporate secretarial function, ideally with prior experience from established service provider (i.e. Singapore law firm or corporate secretarial firm)
- Exposure to an in-house corporate secretarial role within a sizeable financial services organisation is a plus
- Working knowledge of governance standards and regulatory obligations relevant to a licensed financial institution in Singapore
- SAICSA membership/qualification, or an equivalent Commonwealth-recognised qualification
- Sharp problem-solving instincts, able to flag issues early and bring stakeholders along to a resolution
- Strong written communication - comfortable drafting board papers, memos and minutes with clarity
- Confident engaging senior stakeholders, including independent board members and cross-functional leaders
- Comfortable adopting new tools and ways of working, including digital solutions for board governance
- Self-directed, resilient and detail-oriented, with the ability to juggle multiple priorities under pressure
