Role Description
This is a client-facing, high-touch and multifaceted advisory role working directly with the directors, management and key stakeholders of listed issuers on the SGX, on their continuing obligations under the SGX Listing Manual. You will work with the senior management of ZICO Capital, and be involved in advising SGX listed issuers on compliance obligations and governance matters, reviewing and assessing public disclosures and earnings releases, high-profile secondary fund-raising exercises, restructurings and M&A transactions, with direct exposure to senior management and regulators from day one.
Responsibilities
- Advise listed issuers, including their directors and management, on continuing listing obligations under the SGX Listing Manual
- Advise on corporate governance matters, including board composition, disclosure practices and compliance with the Code of Corporate Governance
- Review announcements, press releases, shareholder circulars, annual reports and other disclosure documents for compliance with SGX listing requirements prior to release
- Advise on corporate actions, including interested person transactions and significant transactions, in respect to compliance with SGX listing requirements
- Liaise with SGX RegCo and other regulatory authorities, as well as internal and external stakeholders (such as auditors, legal counsels and financial advisers), on listing compliance, governance, and public disclosure matters
- Manage and build strong, lasting and value-driven client relationships across a portfolio of listed issuers
- Support listed issuers on corporate actions, mergers and acquisitions and fund-raising exercises, including secondary offerings such as placements and rights issues
What We are Looking For
- Bachelor's Degree, Postgraduate Diploma, or Professional Degree in Accountancy, Finance, Business or a related field from a recognised university
- Minimum 2 years of relevant experience in accounting, finance, corporate compliance, or capital markets advisory
- Working knowledge of the Singapore Securities & Futures Act, SGX Listing Manual and Singapore Companies Act
- Proficient in written and verbal communication in both English and Chinese, to liaise effectively with Chinese-speaking clients and stakeholders
- Meticulous, analytical and self-motivated, with the ability to work independently and manage deadlines under pressure
- Strong interpersonal skills, adaptability, and the ability to multitask across a portfolio of clients
- Ability to leverage support from senior team members, and independently formulate and deliver customised solutions and practical ideas to corporate clients
- Strong bias for action, adept at client-facing and high-touch advisory engagements
- Strong ability to manage multifaceted client and advisory requirements, and cross-functional workstreams
- A team player who is also comfortable taking ownership of client relationships
