Job Description

Company Overview: Rawlinson & Hunter is a leading organization in the Private Client professional services sector, committed to excellence and innovation. We are looking for a highly skilled and experienced Company Secretary to join our dynamic team. In this role, you will play a crucial part in ensuring compliance with statutory and regulatory requirements. The ideal candidate will possess a proactive, detail-oriented mindset, along with excellent communication and interpersonal skills to effectively manage client relationships and uphold compliance standards.

Key Responsibilities:

. Maintain and update all the statutory books, including registers, and prepare and file statutory returns and forms with the Accounting and Corporate Regulatory Authority (ACRA).

. Organize and facilitate board and shareholder meetings, preparing agendas, minutes, and resolutions. Attend meetings to draft minutes and lodge necessary forms with ACRA promptly.

. Provide legal, financial, and strategic advice during meetings and support the implementation of board decisions.

. Offer strategic guidance to clients on company structuring, compliance requirements, and best practices in corporate governance, fostering strong client relationships.

. Address and resolve client issues promptly to ensure high levels of satisfaction.

. Ensure compliance with all statutory and regulatory requirements for the group companies and clients.

. Acting as a liaison between clients and regulatory authorities to address queries and ensure timely responses.

. Assist in compliance reviews by identifying and assessing risks and oversee the onboarding process for new clients to ensure all documentation is collected and compliance checks are completed.

. Assist the team in managing client billing processes, ensuring timely invoicing and payment collections.

. Regular maintenance of the internal client database.

. Stay informed about changes in legislation, regulations, and industry trends that may impact clients, effectively communicating relevant updates.

. Manage correspondence, reports, and other documents while effectively handling any ad hoc tasks as required and demonstrating the ability to work independently with minimal supervision.

. Handle sensitive information with discretion and maintain confidentiality of corporate records and discussions.

Qualifications:

. Bachelor's degree in law, Business Administration, or a related field.

. Chartered Secretary qualification (ICSA) or equivalent.

. Minimum of 4 years of experience in a similar role.

. In-depth knowledge of corporate governance and compliance regulations in Singapore.

. Excellent organizational and time-management skills.

. Strong communication and interpersonal skills.

. High level of integrity and professionalism.

Preferred Skills:

. Experience with corporate secretarial software.

. Familiarity with the Companies Act and other relevant legislation.

. Ability to work independently and as part of a team.

. Proficiency in Microsoft Office Suite.
