Job Description & Requirements

We are looking for a proactive and detail-oriented Company Secretary to join our team. This is a key position that supports corporate governance, board approval processes and regulatory compliance. The successful candidate will work closely with senior stakeholders including the board of directors.

Key Responsibilities

Board / Shareholders / Management Committee Meetings

  • Preparation/convening/organizing/attending and recording proceedings of Director's Meeting including recording all Management Minutes. Draft and finalize all minutes of all meetings.
  • Drafting and circulating Board Resolutions, advising and preparing forms and documents whenever required by the Companies Act, 1967 (the Act) (for example appointment of directors/advisors, Directors/CEO disclosures, shares interest/other directorships, distribution of dividends, increase or decrease in paid up capital, etc).

Statutory Compliance

  • Ensure compliance with applicable requirements of the Act and Constitution (Memorandum and Articles of Association) of the Company.
  • Maintain Statutory Registers and records for the Company including lodgement (filling required under the Act), ACRA Bizfile.
  • Handle all corporate governance matters in relation to the Company.
  • Maintain file records of MAS Directives, Notices, Guidelines, and Circulars received by the Company, and all correspondences between the Company and MAS/and other assigned governmental bodies and agencies.
  • Handle communications with MAS on the re-appointment of the external auditor, directors, etc.
  • Handle renewal of LEI registration annually and any other ad-hoc assignments as required.

Requirements

  • Degree/Diploma in Business Administration, Law or related disciplines
  • CSIS qualification is essential
  • Minimum 5 years of corporate secretarial experience, preferably in regulated financial services environment or professional services firms
  • In-depth knowledge of the Singapore Companies Act and ACRA compliance requirements, and regulatory framework
  • Well-organized, meticulous, independent, with strong leadership and communication skills to provide insightful guidance to the business and the team
