Our client is a diversified project developer and investment group with headquarters in Singapore and operations across Asia. The business manages large-scale ventures in energy, chemicals, infrastructure, and sustainable resources, with an active pipeline of acquisitions and cross-border projects. As part of their continued expansion, they are seeking a skilled Corporate Secretarial professional to join the Singapore office and play a pivotal role in strengthening governance and compliance frameworks across the groups portfolio.
Responsibilities
- Deliver a full range of corporate secretarial support to the Board of Directors, Committees, and senior leadership.
- Manage statutory compliance matters, including Companies Act obligations, regulatory filings, and corporate governance reporting.
- Oversee corporate governance for complex group structures, including subsidiaries, joint ventures, and project-specific entities across multiple jurisdictions.
- Draft, review, and maintain board and shareholder documentation, including minutes, resolutions, and statutory registers.
- Provide advice on governance best practices, with attention to industry-specific regulatory and operational requirements.
- Coordinate with regulators, legal advisors, and joint venture partners on compliance and statutory matters.
- Support shareholder administration such as AGMs/EGMs, share transactions, and corporate restructuring.
- Maintain accurate statutory records for all group entities, including those established for international projects.
- Assist with corporate transactions, including M&A, financings, and project development activities.
Requirements
- ICSA/SAICSA qualification (Associate or Chartered status) strongly preferred.
- Degree in Law, Business, or related discipline would be an advantage.
- At least 3 years of corporate secretarial experience, ideally gained within energy, chemicals, infrastructure, or related sectors.
- Strong knowledge of the Singapore Companies Act and ACRA compliance.
- Experience handling joint ventures, overseas entities, and multi-layered corporate structures.
- Strong drafting, organisational, and stakeholder management skills.
- Ability to work independently in a dynamic environment, with attention to detail and high levels of professionalism.

- Role is based full-time in their downtown Singapore office (no remote arrangement).
