Responsibilities
- Lead the application process for registration as a Corporate Service Provider (CSP) and establish necessary internal policies and governance frameworks.
- Ensure adherence to the Corporate Service Providers Act and relevant regulatory requirements.
- Coordinate matters related to Registered Qualified Individual (RQI) requirements and liaise with regulatory authorities for compliance matters.
- Develop and implement comprehensive compliance programs including AML/CFT requirements, customer due diligence (CDD), KYC procedures, sanctions screening, and monitoring obligations.
- Conduct ongoing regulatory compliance reviews post-CSP registration.
- Provide comprehensive corporate secretarial services to Singapore-incorporated companies, including company incorporations, acting as Company Secretary, preparing filings, and maintaining statutory company information.
- Administer Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and Board Meetings while maintaining statutory registers and corporate records.
- Prepare corporate documents, including board resolutions and minutes of meetings.
- Handle constitutional amendments, beneficial ownership compliance, and related regulatory filings.
- Assist in striking-off applications, liquidation support, and company closure processes.
- Address client inquiries and provide expert guidance on corporate secretarial matters.
Requirements
- Bachelor's Degree or relevant qualification in a related field.
- Proven experience in corporate secretarial practice within Singapore and strong understanding of the Singapore Companies Act and ACRA filing requirements.
- Proficient in using BizFile+ for corporate filings and compliance.
- Strong communication and stakeholder management skills with the ability to work independently and handle multiple projects.
- High attention to detail and commitment to compliance and professional standards.
- Registration as an ACRA Registered Qualified Individual (RQI) or eligibility to satisfy RQI requirements promptly is preferred.
- Experience in CSP registration applications and knowledge of AML/CFT, KYC/CDD compliance within a CSP setting.
- Background in a corporate secretarial firm, accounting firm, professional services firm, or law firm is desirable.
- Relevant professional certifications (e.g., CSIS) and experience in managing a corporate secretarial team are advantageous.
- Familiarity with supporting corporate clients is a plus.
