We are seeking a qualified and experienced Company Secretary (with the requisite knowledge and qualifications recognized by ACRA) to join our team. The ideal candidate will serve as the Company Secretary for our own company (to ensure full ACRA compliance) while also handling incorporation and ongoing corporate secretarial services for our clients.
Key Responsibilities
- Act as the named Company Secretary for the company and ensure full compliance with the Singapore Companies Act and ACRA requirements
- Prepare, review and file all statutory documents and annual returns (Annual General Meeting, Annual Return, Change in Officers, etc.) via BizFile+
- Handle company incorporation applications for clients, including name reservation, preparation of incorporation documents, appointment of directors/secretary/shareholders, and ACRA filing
- Provide corporate secretarial services to clients, including:
- Maintaining statutory registers (Register of Members, Directors, Secretaries, Charges, etc.)
- Preparing and organizing board meetings, shareholder meetings, and minutes
- Advising on corporate governance, compliance matters, and regulatory updates
- Assisting with share transfers, allotment, share buy-back, and other changes
- Preparing resolutions, announcements, and supporting documents
- Liaise directly with ACRA, clients, lawyers, banks, and other authorities on behalf of the company and clients
- Monitor changes in Singapore company law, ACRA regulations, and notify management/clients of any impact
- Support other related corporate services (e.g. nominee services coordination, work pass applications, etc.) when required
- Maintain accurate records and ensure all filing deadlines are strictly met to avoid penalties
Requirements
- Singapore Government qualified and licensed to act as Company Secretary under the Companies Act
- Hands-on experience with ACRA BizFile+ system and company incorporation process
- Proven track record in handling company incorporation for local and foreign clients
- Strong knowledge of Singapore Companies Act, ACRA guidelines, corporate governance, and statutory compliance
- Excellent command of written and spoken English and fluent in Chinese
- Detail-oriented, well-organized, able to meet tight deadlines, and strong sense of responsibility
- Independent worker with good communication skills to handle client relationships
- Preferably with experience working in corporate secretarial firms, corporate service providers, or law/accounting firms
