Investment Banking Department
Bank of China Limited, Singapore Branch (BOCSG) is looking to hire a senior member in its Investment Banking Department (IBD), under the branch's Investment Banking Division (IB Division). The Division provides strategic advice across the capital structure on fundraising options to BOCSG's highest tier of Singapore, SEA, and Greater China clients across all sectors, working alongside with relationship managers and the various product teams to structure, originate and execute investment banking transactions.
IBD captures the most strategic, complex and multi-product opportunities for our corporate or FI clients, often transformational in nature as part of an event driven M&A, large investment, restructuring or sector thematic occurrence (ie Covid, Trade-war, etc).Transformational situations including multi-product merger and acquisitions, major refinancing, balance sheet restructurings, take-over defence situations, pre-IPO and post-IPO financings and strategic capital investments. These types of dynamic situations often require a swift response and a strong sense for the inherent sensitivities of all stakeholders.
Job description
1. Responsible for Compliance Matters
- Responsible for all the department's business related risk management, internal control and compliance matters (e.g. quarterly compliance reporting, regulatory submissions).
- Act as department's compliance officer, ensures that the department complies with matters relating to both internal policies and procedures (e.g. related party/connected party/internal transaction policies and procedures, confidentiality policies and procedures) and external rules and regulations (e.g. Securities and Futures Act, MAS Notices).
- Represents the department on bankwide initiatives such as the Risk and Control Assessment, Business Impact Assessment, Delegation of Authority exercise and the MAS Annual Data Collection Survey.
- Provides project teams with advice on internal procedures and compliance matters, suggests steps to mitigate risks as well as ensure quality control and compliance with the relevant rules and regulations.
- Assists the department head on all reporting matters, including for example, budget/ business plan and the submission of the semi-annual/ annual departmental reports to head office and branch senior management.
2. Oversees Execution of Transactions
- Oversees and drive execution of investment banking transactions, including capital market transactions such as SGX IPOs, mergers & acquisitions and financial advisory.
- Oversees and guide the team in conducting financial analysis, valuation, due diligence, and deal structuring.
- Advise the team on the preparation of pitch books, proposals, term sheets, and other relevant documents.

Current IBD platform is strong, providing an excellent platform for further growth and innovation. IBD acts as a product neutral coordinator in multi-product transactions, in close cooperation with the relationship managers and various product specialists.
Job Requirements
Knowledge and experience:
- 10 to 15 years of experience in the corporate finance, investment banking sector.
- Proven track record in operations, risk management, internal control, compliance, and strategic planning.
- Equipped with deal experience across corporate advisory, capital markets, and M&A.
- Familiar with Singapore's rules and regulations such as the SFA, SGX Listing Rules and MAS regulations.
- Ability to work effectively and perform in a fast-paced environment with tight deadlines
- Bachelor's degree preferably in finance, economics, business administration, or accounting.
