About The Team

Ashurst's top-tier Asian Projects & Energy Transition team specialises in complex, high value and first in kind cross-border transactions in the energy and infrastructure sector across Asia, the Middle East and Africa. We are particularly focused on renewables, energy storage, hydrogen, carbon capture and storage, EV (and related supply chains), biofuels as well as LNG and LNG to power, but also advise on infrastructure projects such as water and transportation infrastructure and digital infrastructure such as data centres.

Our clients include both developers/sponsors, funds and lenders (including development banks/multilaterals and export credit agencies). We operate as a tight-knit integrated team across our Asian offices and regularly cross-staff our transactions with lawyers from the Projects & Energy Transition Team in Jakarta, Seoul and Tokyo. Given the wide geographical remit of our practice, we also regularly work with our Australian, Middle Easter and European offices.

About The Role

The Projects & Energy Transition team in Singapore are looking for a lawyer with at least 4 years legal experience. The opportunity is to perform the role of lead non-partner advising on the financing arrangements for these major transactions, with support and supervision from the relevant partner(s), and gain exceptional experience.

Our preferred candidate should have significant experience working on the entire suite of financing documentation for large scale financings in the energy (and particularly power and LNG) and infrastructure space which have been structured as a project financing, as well as significant transaction management experience and organisational skills.

They should be lateral thinkers and self-starters with a genuine interest in the underlying sector and keen on the international exposure offered by the role.

Main Tasks

  • Day to day responsibility for matters, with extensive direct client contact and contact with local counsel.
  • Proactively progressing complex matters with appropriate partner support.
  • Supporting on the structuring of financing arrangements, as well as drafting and reviewing of financing term sheets, core financing documentation (e.g. common terms agreements, facility agreements, shareholder support agreements, intercreditor agreements), hedging documentation and drafting and/or supervising more junior lawyers developing security documents and ancillary financing documentation.
  • Negotiating, with appropriate partner support, with counterparties.
  • Managing and supervising signing and closing of conditions precedent under the relevant documentation.
  • Advising on waivers under any financing documentation.
  • Business development and networking activities.
  • Contributing to and refining department know-how.
  • Nurturing and mentoring junior lawyers and providing leadership in conjunction with partners.

About You

  • At least 4 years legal experience gained (preferably) within private practice.
  • Experience working on project financing documentation including financing term sheets, core financing documentation (e.g. common terms agreements, facility agreements, shareholder support agreements, intercreditor agreements) and security documents, as well as managing waiver processes and signing and closing processes.
  • Excellent verbal and written communication skills (including drafting) and excellent organisational skills.
  • Confidence to lead effective negotiations with clients and counterparties.
  • Strong ability to communicate with and listen to clients in order to understand their needs and how best to meet them. Experience working with local counsel in other jurisdictions and delivering an integrated product.
  • Lateral thinker to develop innovative solutions to issues that arise during transactions.
  • Excellent attention to detail and the ability to identify inconsistencies that indicate problems with quality of work or a misunderstanding of clients needs.
  • Ability to build team morale and motivate team members, contributing to the creation of a positive work environment and to assist with training and development.
  • A proactive, positive and energetic approach with a commitment to providing excellent service and a desire to interact with the market and build client relationships.
  • All work is performed in English, but any additional languages are welcome.
  • Experience with development banks/multilaterals and export credit agencies is preferred but not essential.
