About the Role
The Senior Manager / Assistant Director (Legal) supports the work of NTUC Foundation in its grant-making, fund-raising and community impact initiatives across the Labour Movement.
The role will provide legal, governance and risk advisory support to ensure that NTUC Foundation's programmes, partnerships, grants, donations and stakeholder engagements are structured and administered in a sound, compliant and mission-aligned manner.
In addition, the individual may be required to take on any or all of the following functions:
• Provide advice to NTUC, its affiliated unions, associations and union members on employment and industrial relations matters
• Provide corporate legal services for NTUC departments
• Provide representation at mediation/adjudication and at IAC/ECT
• Provide input in the review of labour legislation
• Draft and vet legal documents including constitutions and contracts
• Prepare position papers on key legal issues relating to the above
Responsibilities
- Provide legal and governance support to NTUC Foundation on its operations, charity governance, grant-making, fund-raising, donor arrangements, programme partnerships and community impact initiatives.
- Draft, review and negotiate legal documents relating to foundation work, including integration of charity units, grant agreements, donation agreements, sponsorship agreements, memoranda of understanding, service agreements, partnership agreements, vendor contracts and data-sharing arrangements.
- Advise on legal and regulatory requirements relating to charities, Institutions of a Public Character, fund-raising appeals, donations, grants, sponsorships and disbursement of funds.
- Support the development and review of policies, templates and processes for grants, donations, fund utilisation, beneficiary support, donor stewardship and programme administration.
- Identify and advise on legal, governance, financial, operational, reputational and compliance risks arising from foundation programmes, partnerships and fund-raising activities.
- Act as the Compliance Manager to liaise with Data Protection Office on data protection matters, including personal data protection, confidentiality and consent issues relating to donor management, beneficiary applications, programme evaluation, publicity, case stories and data-sharing with partners.
- Prepare legal views, briefing notes, position papers and risk assessments on issues relevant to the Foundation's work.
- Provide Corporate Secretariat support to the NTUC Foundation.
- Provide legal advice to NTUC and its affiliate unions and associations on employment and industrial relations matters and representation at IAC/ECT
- Work closely with NTUC Foundation, Legal Department, Finance, Risk, Governance, Data Protection, Procurement, Communications and relevant NTUC / NTUC Enterprise entities and partners.
Requirements
- Bachelor of Laws from a recognised university.
- Minimum 6 to 10 years post-qualification legal experience, preferably in corporate / commercial law, charity law, governance, regulatory compliance, data protection or social-sector work.
- Admission as an Advocate and Solicitor of the Supreme Court of Singapore is a requirement.
- Strong drafting, contract review and legal advisory skills.
- Good judgement, with the ability to balance legal risk, governance requirements and operational practicality.
- Able to work independently with senior stakeholders, while collaborating across legal, finance, governance, programme and operational teams.
- High integrity and discretion in handling donor, beneficiary, financial and confidential information.
- Strong alignment with NTUC's mission of helping workers and their families.
Preferred Experience
- Experience advising charities, IPCs, foundations, public-sector agencies, social service agencies or mission-driven organisations.
- Experience with grants, donations, fund-raising, sponsorships, community partnerships or social impact programmes.
- Experience with employment-related matters.
