Oversee and manage a portfolio of corporate secretarial clients, ensuring full compliance with the Singapore Companies Act and relevant statutory regulations.
Review and approve corporate documents, including Directors Resolutions, Annual Returns, and other regulatory filings.
Supervise and mentor junior corporate secretarial staff, providing guidance and ensuring accuracy in all corporate secretarial matters.
Act as the main point of contact for clients, advising them on corporate governance, regulatory compliance, and best practices.
Manage the maintenance and updating of clients statutory records, company registers, and minute books.
Monitor and ensure timely statutory filings, including ACRA and other relevant authorities, and handle all related correspondence.
Work closely with management, legal advisors, and regulatory bodies to ensure compliance with local corporate laws and regulations.
Assist in drafting and implementing corporate secretarial policies and procedures for the firm.
Coordinate board and shareholder meetings, including preparation of agendas, meeting minutes, and resolutions.
Support business development initiatives by identifying potential clients and participating in networking activities.
Handle other ad-hoc corporate secretarial matters as assigned by senior management.
Job Requirements:
Degree/Diploma in Accountancy, Business Administration, Law, or a professional qualification recognized under the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA).
Minimum 3-5 years of corporate secretarial experience, preferably in a professional services firm.
Strong understanding of the Singapore Companies Act, corporate governance principles, and regulatory requirements.
Proven ability to manage a corporate secretarial team and delegate tasks effectively.
Excellent organizational skills with the ability to handle multiple tasks and meet tight deadlines.
Strong communication and interpersonal skills to liaise with clients, management, and regulatory authorities.
High attention to detail and ability to work independently with minimal supervision.
Proficiency in Microsoft Office and corporate secretarial software is preferred.
Language Proficiency:
Proficiency in written and spoken English is required for documentation and client communication.
Proficiency in additional languages is advantageous but not mandatory for liaising with diverse clients.
