    Our client is a growing organization that is strengthening its corporate governance and regional compliance framework in preparation for future corporate initiatives. They are seeking an Admin Manager (Corporate Governance & Company Secretarial / Japanese Speaking) to support board administration, compliance coordination, and regional governance matters.

    This role will work closely with the headquarters in Japan and external professional firms, including auditors, legal counsel, and corporate secretarial service providers, to support corporate governance and company secretarial functions across the region.

    【Responsibilities】
    - Support corporate governance and company secretarial matters for the Singapore entity and regional group companies.
    - Coordinate Board of Directors meetings, committee meetings, and shareholders meetings, including the preparation of agendas, resolutions, and meeting materials.
    - Prepare and maintain meeting minutes, statutory records, and governance documentation.
    - Support compliance with the Singapore Companies Act, SGX Listing Rules, and internal governance policies.
    - Assist in maintaining and updating company policies, internal regulations, and governance-related documents.
    - Coordinate with external professional firms, including auditors, legal counsel, and corporate secretarial service providers.
    - Support entity management matters for subsidiaries and affiliated companies.
    - Liaise with headquarters in Japan and overseas group entities on governance, compliance, and reporting matters.
    - Support internal control and compliance initiatives.
    - Handle ad hoc administrative and corporate governance-related duties as assigned by management.

Qualifications

  • Requirement

    【Requirements & Preferences】

    (Must Have)
    - Diploma or Bachelor's Degree in Business Administration, Law, Finance, Accounting, or a related field.
    - At least 5 years of relevant experience in corporate administration, corporate secretarial, governance, compliance, or related functions.
    - Proficiency in Japanese (JLPT N2 or equivalent) to communicate effectively with headquarters in Japan and Japanese-speaking stakeholders.

    (Advantageous)
    - Professional qualification such as ICSA or SAICSA.
    - Experience supporting listed companies or IPO-related projects.
    - Familiarity with SGX Listing Rules and corporate governance requirements.
    - Experience in legal, audit, compliance, or governance-related functions.
    - Experience coordinating with external legal firms, auditors, and professional advisors.
